Services

Hynesense designs and builds software, portals, apps, websites, automations and AI-assisted systems. The exact service for each client is set out in a written proposal or statement of work.

Proposals and scope

A proposal describes the agreed work, assumptions, delivery stages and anything excluded. Changes to scope, priorities or timing must be agreed in writing. Estimates are not guarantees unless the proposal expressly says otherwise.

Fees and payment

Fees, payment dates, expenses, taxes and any continuing charges will be stated in the proposal. The legal wording for late payment, suspension and disputed invoices is awaiting review and will be agreed before these terms are approved.

Intellectual property

Until the ownership wording is agreed, ownership will be stated in each signed proposal rather than assumed from this draft.

Legal decision pendingThe ownership position for client-specific work, reusable Hynesense materials, third-party materials, source code and data is awaiting review by the group's lawyer.

Client responsibilities

The client must provide timely access, accurate information, suitable decisions and any permissions needed for the work. The client remains responsible for reviewing and approving outputs that affect money, safety, legal matters or external communications.

Confidentiality and data protection

Each side must protect the other's confidential information and use it only for the agreed work. Where Hynesense processes personal data for a client, the parties will agree the required data-processing terms before that processing begins.

Warranties and limits

We will perform the services with reasonable care and skill. Software and AI-assisted outputs can contain errors and must be used with appropriate human review. Any further warranties, exclusions and remedies will be stated in the signed proposal and the approved legal terms.

Liability

Liability limits, excluded losses and matters that cannot lawfully be limited are awaiting legal review. No limit is created by this draft. The agreed position will appear in the approved terms and, where needed, the signed proposal.

Termination

The proposal will state how either side may end the work and what happens to fees, access, data, work in progress and completed materials. Rights that must continue after termination, including confidentiality and payment obligations, will continue where the approved agreement says so.

Governing law

These terms and each agreement made under them are governed by the law of England and Wales. The wording on court jurisdiction is awaiting legal review.
